Job Description

Job Summary

The Junior Officer - Contracts and Legal (JLO) is responsible for supporting the legal team in managing contracts, ensuring compliance with legal standards and assisting with legal documentation.

This role involves working closely with various departments, managing contract reviews, preparing legal documents, and performing legal research.

The ideal candidate will have a keen eye for detail, strong analytical skills and an understanding of legal principles.

Roles & Responsibilities



1.

Contractual Work




The JLO will work with the various departments in the company (Engineering, Purchasing, Finance, HR, Marketing, Activities Manager and various business unit heads) in order to draft the agreements and act as the responsible authority for approving, monitoring, negotiating and reviewing those agreements

Assist in drafting, reviewing, and editing all legal documents, including but not limited to, commercial contracts with external vendors, suppliers, contractors, subcontractors, supply contracts, landlords, tenants, etc., to ensure accuracy and compliance with company policies and legal requirements;
Identify and mitigate legal risks associated with contract terms and conditions;
Negotiate the terms and conditions of the contracts;
Track contract statuses and deadlines to ensure timely renewals, extensions, or terminations as needed.
Maintain organized records of all executed contracts, legal agreements, and related documents.
Ensure proper documentation and filing systems for easy retrieval of legal records.
Prepare and manage templates for recurring legal documents to streamline the contract process.
Identify and report potential compliance issues and propose corrective actions.

Company Legal Work


Liaise with the lawyers for the drafting of all legal documents for new company set-ups including Memorandum of Articles of Association, Service Agreements, Power of Attorneys, etc.
Litigation Work - Liaise with the Group’s lawyers to follow up on legal cases, preparing the case matters, interacting with lawyers and our internal legal department, Group’s lawyers at Dubai Courts, RERA and Dubai Lands Dept.

Coordinating with the Group’s external Lawyers for obtaining formal opinion/advise on various issues and receiving their comments on agreements (where required), etc.
Conduct legal research on topics relevant to the organization’s operations, including industry regulations, labour laws, and data protection laws.
Keep abreast of relevant laws and best practices and new developments of statutory requirements and laws as applicable to the Company.
Summarize findings and provide recommendations to senior legal staff on potential legal implications.

Company Secretary
Organise and prepare agendas and papers for board meetings and committees.
Deal with correspondence, collate information and write reports, ensuring decisions made are communicated to the relevant company stakeholders.
Contribute to meeting discussions as and when required, and advise members of the legal, governance, accounting, and tax departments of the implications of proposed policies.
Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
Liaise with external regulators and advisors, such as lawyers and auditors.
Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
Keeping up to date with any regulatory or statutory changes and policies that might affect the organisation.
Providing support to the board or other committees on specific projects.
Act as a point of contact and building good relationships with shareholders.
Implementing processes or systems to help ensure good management of the organisation or compliance with legislation.
Overseeing the day-to-day administration of the company, e.g., maintaining statutory books, including registers of members, directors, and secretaries, organising board meetings and AGMs, preparing agendas and taking minutes.
Oversee public relations and aspects of financial management.
Drafting minutes of the board meetings and board resolutions.
Ensuring overall compliance to all applicable laws & regulations and mitigation of any related risks.

Job specification

Bachelor’s Degree in Law is a must; Master’s Degree in Law (Preferred) and/or Company Secretary qualification will be a plus.
Minimum work experience of 5-6 years with 3 years relevant GCC experience
Strong understanding of contract law, compliance, and legal documentation.
Proficient in MS Office Suite and legal research tools.
Excellent written and verbal communication skills.
Strong organizational skills with high attention to detail.

Job Requirements

Candidates must have a Bachelor's Degree in Law, with a preference for a Master's Degree and/or Company Secretary qualification.

A minimum of 5-6 years of work experience, including 3 years in the GCC, is required, along with strong analytical and communication skills.
