Project & Asset Manager

• Manage the relationship with Lenders during the development and construction phase and after COD (Commercial Operation Date)
• Manage the Environmental & Social requirements of Lenders
• Collaborate in the preparation of IFC Contracts, in coordination with shareholders representative (Managers, Controlling Departments)
• Compliance with financing documents (e.g. CTA "Common Terms Agreement"), in coordination with shareholders representative (Managers, Controlling Departments)
• Oversees the compliance with financial model

Disclosure Requirements:

• Maintain an accounting and control system, management information system and books of account
• Form of the Annual Monitoring Report
• Provide to the Lenders all the reports required

Deliver:

• A copy of the Borrower’s complete financial statements
• A report on any factors that have or could reasonably be expected to have a Material Adverse Effect
• A report on Borrower’s operations during the quarter
• A report on DSCR
• A report certifying that no EofD have occurred
• A statement on transactions between the Borrower and its affiliates
• A capital and operating budget notices of any scheduled or otherwise planned performance, commissioning or completion test to be conducted with respect to the EPC Contract or the PPA
• Notify any management letter or auditors communication, litigations, defaults
