Job Description
- Monitor and ensure compliance with applicable laws, regulations, and industry standards.
- Stay updated on legal developments and communicate relevant changes to the management and relevant teams.
- Review, draft, and negotiate a wide range of contracts, including investment agreements, shareholder agreements, joint venture agreements, and various commercial contracts.
- Ensure contracts align with the company's objectives, mitigate legal risks, and protect the company's interests.
- Advise on contract interpretation and dispute resolution.
- Advise on corporate governance matters and ensure compliance with corporate laws and regulations.
- Maintain corporate records and ensure proper documentation of company actions.
- Assist in the incorporation and liquidation of subsidiary companies, as required.
- Identify legal risks and develop strategies to mitigate them.
- Conduct legal due diligence for potential investments and acquisitions.
- Assess and manage litigation and legal disputes, working closely with external counsel when necessary.
- Ensure compliance with financial regulations, securities laws, and other relevant regulatory requirements.
- Liaise with regulatory authorities and handle regulatory inquiries and investigations.
- Assist in obtaining necessary licenses and permits for the company's operations.
- Provide legal advice and opinions to management and relevant departments.
- Assess and advise on legal risks associated with business decisions and strategies.
- Conduct legal research on various matters, such as new regulations, case law, and legal precedents.
- Engage and manage relationships with external law firms and legal service providers.
- Monitor and evaluate the performance of external counsel.
- Negotiate and review fee arrangements and service level agreements
Job Requirements
- Bachelor’s degree in law.
- At least 7 years of experience as a corporate lawyer, with a proven track record of success in all corporate legal functions.
- Excellent problem-solving, critical thinking, and decision-making skills
- Thorough understanding of corporate law, including areas such as governance, mergers and acquisitions, securities, and corporate finance.
- Experience in drafting, reviewing, and negotiating complex corporate contracts.
- Strong communication and interpersonal skills, with the ability to present complex legal concepts to non-legal audiences
