Job Description

 

  • Monitor and ensure compliance with applicable laws, regulations, and industry standards.
  • Stay updated on legal developments and communicate relevant changes to the management and relevant teams.
  • Review, draft, and negotiate a wide range of contracts, including investment agreements, shareholder agreements, joint venture agreements, and various commercial contracts.
  • Ensure contracts align with the company's objectives, mitigate legal risks, and protect the company's interests.
  • Advise on contract interpretation and dispute resolution.
  • Advise on corporate governance matters and ensure compliance with corporate laws and regulations.
  • Maintain corporate records and ensure proper documentation of company actions.
  • Assist in the incorporation and liquidation of subsidiary companies, as required.
  • Identify legal risks and develop strategies to mitigate them.
  • Conduct legal due diligence for potential investments and acquisitions.
  • Assess and manage litigation and legal disputes, working closely with external counsel when necessary.
  • Ensure compliance with financial regulations, securities laws, and other relevant regulatory requirements.
  • Liaise with regulatory authorities and handle regulatory inquiries and investigations.
  • Assist in obtaining necessary licenses and permits for the company's operations.
  • Provide legal advice and opinions to management and relevant departments.
  • Assess and advise on legal risks associated with business decisions and strategies.
  • Conduct legal research on various matters, such as new regulations, case law, and legal precedents.
  • Engage and manage relationships with external law firms and legal service providers.
  • Monitor and evaluate the performance of external counsel.
  • Negotiate and review fee arrangements and service level agreements

 

 

 

 

Job Requirements

  • Bachelor’s degree in law.
  • At least 7 years of experience as a corporate lawyer, with a proven track record of success in all corporate legal functions.
  • Excellent problem-solving, critical thinking, and decision-making skills
  • Thorough understanding of corporate law, including areas such as governance, mergers and acquisitions, securities, and corporate finance.
  • Experience in drafting, reviewing, and negotiating complex corporate contracts.
  • Strong communication and interpersonal skills, with the ability to present complex legal concepts to non-legal audiences
