About the Role:
We are looking for a motivated Corporate Lawyer to join our Legal Affairs team. The role involves providing legal support on corporate, commercial, and regulatory matters, ensuring compliance, drafting and reviewing contracts, and advising management on legal risks. The ideal candidate will have around 3 years of professional experience in corporate law and a strong understanding of local legislation and business practices.
Key Responsibilities
1. Legal Advisory & Compliance
Provide legal advice on corporate, commercial, and regulatory matters.
Ensure company policies and procedures comply with Egyptian law and international best practices.
Monitor regulatory changes and assess their impact on the business.
2. Contracts & Transactions
Draft, review, and negotiate commercial contracts, agreements, and MOUs.
Support corporate transactions, including incorporations, mergers, acquisitions, and restructuring.
Ensure legal soundness of financing, leasing, and service agreements.
3. Dispute Resolution & Risk Management
Support in managing litigation, arbitration, and dispute resolution processes.
Coordinate with external counsel when necessary.
Identify legal risks and propose mitigation strategies.
4. Governance & Documentation
Draft board resolutions, shareholder agreements, and corporate filings.
Maintain updated company records, licenses, and registrations.
Assist in ensuring compliance with corporate governance requirements.
Job Requirements
Requirements:
Bachelor’s degree in Law from a recognized university.
Licensed to practice law in Egypt.
Around 3 years of experience in corporate and commercial law (preferably in-house or with a reputable law firm).
Strong knowledge of Egyptian corporate, commercial, and labor laws.
Excellent drafting, negotiation, and communication skills.
Proficiency in English (spoken and written).
