Job Description
- Consult and handle all corporate legal processes (e.g. intellectual property, mergers & acquisitions, financial/securities offerings, compliance issues, transactions, agreements, lawsuits,Contracts
- Develop company policy and position on legal issues
- Research, anticipate and guard company against legal risks
- Structure, draft and review reports and other legal documents
- Draft and administer all contracts
- Negotiate deals and attend company meetings
- Give accurate and timely counsel to executives in a variety of legal topics (labor law, partnerships, international ventures, corporate finance etc.
- Collaborate with management to devise efficient defense strategies
- Specify internal governance policies and regularly monitor compliance
- Research and evaluate different risk factors regarding business decisions and operations
- Apply effective risk management techniques and offer proactive advise on possible legal issues
- Proactively takes necessary legal actions to protect the company and the top management business interest
- Initiate and pursue legal proceedings as required by the Company
- Prepare memos, defenses, submissions and other pleadings in civil cases both for and against the Company
- Advise on legal matters that should be directed to external counsel office and follow up with them.
- Research and prepare legal opinions including claims for compensation against or pro the Company
- Draft and/or review legal letters, contracts and agreements and monitor legal obligations under agreements to ensure compliance as requested.
- Submit work reports to Management.
- Represent the Company at Arbitration and in front of Public Utilities Commission hearings
