Senior Legal Counsel

ABOUT YOUR NEW JOB:Provide high-level strategic advice to stakeholders to secure legal position of the business and ensure that all activities are in line with the law.Support the business in relation to commercial and other transactions, including drafting, negotiation and review of relevant documentation/agreements.Draft, review and negotiate all kind of agreements.Participate in negotiations with stakeholders, business partners and customers, when needed.Advise the business and all functions on all legal issues, including civil, commercial, antitrust, corporate, labor, data protection and all laws relevant to the industry.Continuously improve standard templates, agreements and legal processes to help scale-up commercial transactions and deliver growth.Ensure compliance with All internal policies.Draft/review minutes of Board of Directors and General Assembly meetings and liaising certification of minutes with regulators.Prepare legal documentation requiring Board of Directors' approval including contracts, resolutions and ensure proper maintenance and management of corporate registers.Monitor new/changes of laws and regulations and analyze risks or business exposure/opportunities.Manage the company’s litigation/disputes portfolio and propose and align strategy thereof with External Counsel.Review monthly litigation report sent by External Counsel and prepare periodic contingency report to Group LegalABOUT THE JOB SECERT INGREDIENRTS: Education: Bachelor's degree in law (a master’s degree in law or otherwise is an asset).Minimum working experience: +10 years of work experience in reputable law firms and/or multinational corporates.Language: Fluent in Arabic and English, both written and spoken.IT: Knowledge of Microsoft Office (Word, Outlook and PPT).Membership: Admitted to the Egyptian Bar Association.Strong leadership and demonstrate management capability.Strong drafting and negotiation skills.Demonstrate very strong oral communication skills.Sound knowledge of legal principles and applicable regulatory regime.A keen sense of ownership, and highly adaptable to a fast-changing environment.A solid business focus with practical risk awareness.
