• Job Details:- Providing corporate legal assistance, including incorporating, restructuring, liquidating and merging companies in Egypt as well as preparing all the required corporate legal and compliance documents such as EGM, OGM, BOD meetings, Standard Operating Procedures and Due Diligence. - Drafting, negotiating, and reviewing all types of contracts, including but not limited to Distribution, Franchise, Employment, Secondment, Partnership, E-services, Service Provider, Master-Reseller, Non Confidentiality and Non- Circumvention, Escrow, Transfer of Shares, Commercial Cooperation, Memorandum of Understanding, etc. - Drafting Legal Opinions, conducting investigations with the Employees and preparing Employees’ Policy. - Supervising and training Junior Attorneys and Interns. - Enforcing Foreign Judicial Judgments and Arbitral Awards. - Assisting Foreign Investors in PPP projects with the Egyptian Government (including the nuclear energy project and the Russian Industrial Zone in Suez Canal, etc.) through providing legal advice, and representing them in preparing, drafting, and negotiating the contracts with the Egyptian Government. - Assisting Egyptian and Foreign companies in obtaining necessary and required licenses from regulatory authorities, including NTRA and ITIDA. - Working on solar energy projects, and oil in Egypt, its legal system, and the required contracts (PPP, BOO, and BOT). - Preparing and drafting Expert Witness Reports and witness statement regarding the Egyptian Laws, Regulations and Judicial Practice for Foreign courts. - Analyzing refugees’ cases in Egypt and conducting legal interviews. - Drafting legal articles in order to follow up with the latest amendments in laws and regulations in Egypt.
