Job Description

  • Contract Drafting, Legal Advisory, Litigation Management
  1. Drafting: 
  • Commenting, analyzing, drafting, vetting and solidifying wide variety of business agreements (service, supply, consultancy, framework, settlement, NDAs, novation, sponsorships, leases, supplier agreements, destination management company services, purchase orders, hire-purchase, distribution, employment contracts, travel management services agreements, consumer facing terms and conditions);
  • Preparing, vetting and finalizing corporate documents of Nirvana’s Subsidiaries (MoAs, shareholders agreements, share transfer agreements, EGMs and AGMs, Power of attorneys etc.);
  • Assisting in the applications and regulatory documentation in front of the concerned authorities in Egypt.

 

  1. Legal Advice: 
  • Provide accurate and timely counseling to the management of Nirvana’s Subsidiaries in a variety of legal topics (labor law, commercial law, IP protection and registration, corporate law, licensing regulations, contracts etc.);
  • Deal with complex matters with multiple stakeholders and highlight to the management business risks and recommend alternate options to mitigate them;
  • advising on insurance related matters (social security contribution, PI, CGL, product liability);
  • Liaise with tax advisors in Egypt concerning taxation related inquires. 

 

  1. Governance
  • Reviewing and advising upon due diligences and corporate governance matters;
  • Research and evaluate different risk factors regarding business decisions and operations;
  • Apply effective risk management techniques and offer proactive advise on possible legal issues;
  • Ensure compliance of Nirvana’s Subsidiaries with statutory regulations;
  • Assisting Nirvana’s Subsidiaries in reviewing their internal policies from a legal perspective as needed.
  • Creates, maintains, and regularly updates an organized electronic archiving system and database of all contracts, licenses, MoAs, and various legal documents and records to be retrieved by the Group Legal Department as needed.

 

  1. Management Litigation and debt collection:
  • Managing claims/potential litigation of Nirvana’s Subsidiaries in front of the competent courts or authorities in Egypt, including execution of all related litigation and/or arbitration formalities. 
  • Planning a course of action to recover outstanding debts for Nirvana’s Subsidiaries, and draft favorable settlement agreements based on the business negotiation.

 

  1. Representation in front of the concerned authorities in Egypt:
  • Represent Nirvana’s Subsidiaries in front of Governmental authorities with regards to concluding corporate legal transactions.

Job Requirements

  • - Minimum 5 years PQE as a corporate lawyer, or as a senior associate (corporate) for a reputable/international law firm, or as in-house counsel for a well reputed international corporation.
  • - Specialized knowledge and experience in corporate restructuring with extensive exposure to related processes in front of governmental entities.
  • - Full proficiency in English and Arabic Languages.
