Job Description
- Client consultation and assessment:
- Engage with clients to understand their business goals, needs, and objectives.
- Assess and recommend appropriate legal entity structures (e.g., branches, LLCs, partnerships) based on client-specific circumstances.
- Entity formation and registration:
- Draft and review legal documents, including articles of incorporation, shareholders agreement, joint venture agreements, management agreements and more.
- Prepare and file necessary paperwork with authorities for entity formation and registration.
- Ensure compliance with regulatory requirements and statutory provisions during entity setup.
- Contract drafting and negotiation:
- Collaborate with clients to draft and negotiate various contracts and agreements related to entity formation, ownership, governance, and operations.
- Provide expert legal advice on contract terms, liabilities, and risk mitigation.
- Legal compliance and governance:
- Advise clients on corporate governance matters, including director and shareholder meetings, recordkeeping, and compliance with internal policies.
- Stay up to date with changes in corporate laws, regulations, and industry trends that may impact clients' legal entities.
- Due diligence and research:
- Conduct thorough legal research and due diligence to ensure accurate and relevant information is provided to clients.
- Analyse legal risks and potential implications of various business decisions.
- Client relationship management:
- Develop and maintain strong client relationships by providing responsive and tailored legal solutions.
- Act as a trusted advisor to clients, offering strategic insights and guidance on business-related legal matters.
- Collaboration and teamwork:
- Collaborate with colleagues across different practice areas to provide comprehensive legal support for clients' multifaceted needs.
- Participate in internal knowledge-sharing sessions and contribute to the firm's legal expertise. Providing consultancy services to the clients.
