Job Description
- Providing accurate legal interpretation and advice on the laws in which the Company (including, for instance, the Operating Companies) operates;
- Providing advice and legal analysis on new legislation and possible impact on Company and its business;
- Providing the Company (including, for instance, the Operating Companies) with advice on disputes, litigation and arbitral matters (including possible settlements);
- Providing guidance and legal advice on all procedural, policy and compliance matters;
- Keeping up to date with the laws and legislation applicable to the Company (including the Operating Companies) in general;
- Providing legal assistance for and drawing up of national/international contracts, contractual documents, such as, without limitation, LOIs, MOUs, Confidentiality Agreements, JVAs, JOAs, Gas Sale agreements, Gas/Oil Transportation Agreements etc.;
- Providing advice based on, without limitation, Contracts/Agreements, Concession Agreements, applicable Laws (e.g. Petroleum, environment, Hse, Tax, import/export laws and regulations) involving the Company (including, for instance, the Operating Companies) and taking into consideration the business/commercial implications of the advice;
- Assisting and following up matters related to Company’s participation in ventures (including, for instance, the Operating Companies) under the applicable Laws; including, without limitation, drafting of shareholder’s agreements, articles of association, by-laws, registering companies, etc.
- Preparing/cheking correspondence issued/received by the legal department and, when necessary, preparing/checking from the legal point of view letters to be issued by other departments (e.g involving partners, authorities etc);
- Liaising with representatives/legal department of Partner Companies upon specific request from the responsible Supervisor/Manager;
- Liaising with, supervising and allocating certain legal work to external legal advisors upon specific request from the responsible Supervisor/Manager.
- Handling some administrative tasks
- Dealing with Egyptian Financial Supervisory Authority - EFSA/ EGX - The Egyptian Exchange / General Authority For Investments
- Consult and handle all corporate legal processes (e.g. intellectual property, mergers & acquisitions, financial/securities offerings, compliance issues, transactions, agreements, lawsuits, )
- Research, anticipate and guard company against legal risks
- Structure, draft and review reports and other legal documents
- Represent company in legal proceedings (administrative boards, court trials etc.)
- Draft and administer all contracts
Job Requirements
- Males only
- 3-5 years of experience.
- Ability to develop & amend various contract types
- Excellent communication skills, both verbally and in writing.
- Recorded in the Egyptian Lawyers Bar.
- Computer skills
- Fluent English and Arabic is a Must.
- Presentable
- Graduate of Faculty of Law English or French.
