Job Description
General Duties & Responsibilities:
- Abides by Group by-laws including policies and procedures and proposes changes to the above when necessary.
- Abides by the authorities granted to the position as per the delegation of authority structure and any formal changes thereto.
- Handles all Legal issues (Administrative: documentation/notarization/authentications, as well as all legal dispute) through Supervising the Legal Officers/ lawyers in the Legal Department.
Operational Duties & Responsibilities:
- Responsible for ensuring that laws and regulations that the company is subject to, are complied with regarding the reporting system to both EFSA and EGX
- Handling all shareholders’ and board members queries.
- Keeping relations with the employees responsible in EFSA
- Keeping the Final Approval password after the Data Entry Function password through EFSA Online Disclosure System (ODS).
- Attending all Board and AGM & EGM meeting and prepare the minutes, ensure signing, authentication and reporting in due course
- Review all registers of board, AGM & EGM Meeting and ensure updating and completeness
- Review all legal reports produced by the lawyer and attend all meetings with the external lawyers as appropriate
- Responsible for Corporate Governance process (implementing the local rules and proposing international best practice)
Job Requirements
- Bachelor’s Degree (B.A.) or equivalent education, in addition to the following working experience:
- Minimum of 10-15 years of experience acquired in the securities brokerage sector or banking sector at a senior level or management consultancy or banking research.
- Strong knowledge base and technical skills in EGX and EFSA officials.
- Computer literacy and knowledge in MS Office.
- Communication skills and the ability to coach staff.
